ADDITIONAL TERMS AND CONDITIONS FOR GRUNDFOS’ SALE OF EQUIPMENT FOR GRUNDFOS iSOLUTIONS CLOUD FOR WASTEWATER NETWORK
These Additional Terms and Conditions for Grundfos’ Sale of digital hardware for Grundfos iSOLUTIONS CLOUD for Wastewater Network is a part of the agreement (Agreement”) between the customer (the “Customer”) purchasing the digital hardware (including sensors) for Grundfos iSOLUTIONS Cloud for Wastewater Network (the “GiC WWN Equipment”) and the company in the Grundfos Group of companies (“Grundfos”) selling the GiC WWN Equipment.
These Additional Terms and Conditions apply in addition to Grundfos’ general terms and conditions for sale of products and services. In the event of discrepancies, these Additional Terms and Conditions prevail.
1.1 With these Additional Terms and Conditions, Grundfos grants to the Customer a right for a period of two (2) years after the date where the Customer has gained access to the digital services and the onboarding training has been conducted (“Service Activation Date”) to sell back to Grundfos the GiC WWN Equipment (“Sale Back Right Period”) .
1.2 If the Customer wishes to sell back to Grundfos the GiC WWN Equipment, then the Customer must give notice to Grundfos thereof (“Sale Back Notice”) before the expiry of the Sale Back Right Period.
1.3 The Customer must at its costs (subject to Clause 2) send back to Grundfos the GiC WWN Equipment in the same condition as it was originally delivered by Grundfos, subject only to normal wear and tear.
1.4 The Customer must send back to Grundfos the GiC WWN Equipment immediately after the notice period for the Customer’s subscription to Grundfos iSOLUTIONS Cloud for Wastewater Network. The return of the GiC WWN Equipment is at the Customer’s account.
1.5 When Grundfos has received the GiC WWN Equipment as described in clause 1.3, Grundfos shall pay to the Customer a return price equivalent to 100 % of the net purchase price the Customer paid for the GiC WWN Equipment (exclusive of installation and commissioning costs) minus a handling fee in accordance to Grundfos’ pricelist.
1.6 The Customer’s sale back of GiC WWN Equipment to Grundfos according to these Additional Terms and Conditions is “as is” and without any warranty to Grundfos.
2. Items excluded from the Sale Back Right
2.1 In the event, that the Customer has purchased separate monitoring equipment in accordance with PARTICULAR CONDITIONS, APPENDIX – MONITORING EQUIPMENT FOR GIC WWN, clause 1.2, such additional monitoring equipment shall be excluded of the Sale Back Right in clause 1.
3. Deinstallation in case of sale back
3.1 Grundfos offers to deinstall the GiC WWN Equipment.
3.2 Upon Customer’s request which the Customer must give at the same time as the Sale Back Notice, Grundfos deinstalls and arranges for the return of the GiC WWN Equipment at the fee set out in the Agreement.
3.3 Deinstallation is subject to Grundfos’ general terms and conditions for sale of products and services applicable at the time Customer accepted the purchase of the GiC WWN Equipment and installation services was received by Grundfos as well as these additional terms.
3.4 The payment for deinstallation performed by Grundfos will be set off against the return price payable by Grundfos in accordance with Clause 1.5. The Customer must follow the at any time applicable procedure for sale back to Grundfos.
