Splošna pravila za prodajo in dobavo izdelkov

UVOD

1.        UPORABA

1.1     Ta Splošna pravila in pogoji za prodajo in dobavo proizvodov ter opravljanje storitev (»Splošna pravila in pogoji«) se uporabljajo za dobavo proizvodov strankam in storitev ter storitev v povezavi s proizvodi za stranke s strani GRUNDFOS South East Europe Kft.Grundfos«).

1.2     Pogodba med pogodbenima strankama je sklenjena, ko ena pogodbena stranka sprejme ponudbo druge pogodbene stranke brez pridržkov ali sprememb. Ko stranka prejme proizvode ali storitve, to predstavlja dejanski sprejem ponudbe. Ponudba, sprejem ponudbe, Splošna pravila in pogoji (ne glede na sklicevanje na nanje) in kakršnikoli drugi dokumenti, ki jih je Grundfos izrecno sprejel, predstavljajo pogodbo o nakupu proizvodov ali naročilu storitev s strani stranke (»Pogodba«).

1.3     Stranka mora preveriti in zagotoviti, da je Grundfosova potrditev prodajnega naročila skladna s prodajnim naročilom, ki ga je podala stranka. Če kupec ne obvesti Grundfosa o kakršnikoli neskladnosti brez neupravičenega odlašanja, je Grundfosova potrditev prodajnega naročila za stranko zavezujoča.

1.4     Če sta Grundfos in Stranka sklenila posebno pisno pogodbo, se uporabljajo določila pogodbe. Ta Splošna pravila in pogoji se uporabljajo za primere, ki niso urejeni v zgoraj omenjeni pogodbi. Grundfos izključuje uporabo kakršnihkoli splošnih pogojev stranke, ki niso posebej dogovorjeni med pogodbenima strankama.

 

2.        INFORMACIJE, KI JIH POSREDUJE GRUNDFOS

2.1     Stranka lahko pridobi od tretje osebe kakršnekoli tehnične nasvete, ki jih potrebuje. Razen za specifične informacije o proizvodu, Grundfos ni odgovoren za informacije, ki jih posreduje stranki (ali katerikoli tretji osebi, ki dela za stranko), pred, ob ali po tem, ko je Pogodba stopila v veljavo, razen če sta stranki sklenili pisni sporazum, ki vključuje Grundfosov nasvet in ločeno plačilo za kakršenkoli tak nasvet.

2.2     Če sta stranki sklenili pogodbo, ki temelji na Grundfosovem nasvetu, je tak Grundfosov nasvet podan izključno v okviru delovanja Grundfosa, glede na Grundfosova znanja v trenutku svetovanja in temelji zgolj na podatkih, ki jih je stranka posredovala Grundfosu.                             

 

POSEBNE DOLOČBE GLEDE PROIZVODOV

                            

3.        NADZOR GRUNDFOSA

3.1     Vsi proizvodi so pred odpremo iz tovarne pregledani in standardno preizkušeni. Grundfos lahko stranki na njeno zahtevo in proti plačilu dostavi certifikat testiranja. Certifikat testiranja potrjuje dejstvo, da so proizvodi izdelani skladno z Grundfosovimi specifikacijami, razen če proizvodi na testu niso bili odobreni.

 

4.        DOBAVA PROIZVODOV, ČAS DOSTAVE IN PREKLIC

4.1     Grundfos dobavi vse proizvode na kraj in ob času, kot je bilo pisno dogovorjeno, če je stranka zagotovila, da so vse tehnične podrobnosti in formalnosti glede izvedbe Pogodbe dosegljive Grundfosu, in če je stranka opravila predplačilo v skladu z odstavkom 9.2 spodaj. Časovnica, ki je določena na Grundfosovi ponudbi in/ali v potrditvi naročila, je nezavezujoča ocena, in ne predstavlja dogovora o času dobave. Če se stranki nista dogovorili o času dobave, bo Grundfos opravil dobavo v razumnem roku od izdaje potrditve naročila.

4.2     Če proizvodi niso dobavljeni v 90 dneh po dogovorjenem roku dobave (če je dogovorjen), lahko stranka s pisnim obvestilom odstopi od dela Pogodbe, ki se nanaša na proizvode, katerih dobava je bila zamujena.

4.3     Če stranka (deloma ali v celoti) ne prevzame dobave na dogovorjeni datum, mora plačati, kot če bi bila dobava opravljena, Grundfos pa je upravičen, da mu stranka povrne škodo za vsakršno izgubo, ki jo je utrpel zaradi neuspešne dobave, vključno z dodatnimi stroški prevoza in skladiščenja. Druga možnost je, da Grundfos  odstopi od Pogodbe (ali njenega dela) in zahteva odškodnino od stranke za vsakršno škodo, ki jo je utrpel zaradi neuspešne dobave, vključno z vsemi dodatnimi stroški prevoza.

4.4     Grundfos lahko dobavi proizvode v več delih in v kakršnemkoli zaporedju.

4.5     Stranka lahko odstopi od Pogodbe brez finančnih vplivov v 24 urah po tem, ko je poslala Grundfosu naročilo, razen če je Grundfos že začel proizvajati predmetno naročilo. Vsak odstop po tem časovnem okvirju mora biti pisno odobren s strani Grundfosa, in če Grundfos sprejme odstop od Pogodbe, se odstop izvede pod naslednjimi pogoji:

(a)    V primeru odpovedi dobave proizvodov, ki se trajno hranijo na zalogi, Grundfos zaračuna dodatne stroške odpovedi v višini 20% od neto vrednosti Pogodbe.

(b)    V primeru proizvodov, ki se ne hranijo na zalogi, Grundfos zaračuna naslednje stroške: i) Stroške odpovedi v višini 20% od neto vrednosti Pogodbe, ii) dejanske stroške, vključno s proizvodnimi stroški, in iii) stroške vračila proizvajalcu. Na zahtevo stranke, Grundfos izstavi seznam teh stroškov.

(c)     Če so bili proizvodi že (delno) dobavljeni, se v primeru odpovedi uporabijo še naslednji pogoji:

i)                 Proizvodi, od proizvodnje katerih je minilo več kot eno leto, se ne morejo vrniti Grundfosu.

ii)                Vrnjeni proizvodi morajo biti v njihovem izvornem, nepoškodovanem stanju in pakiranju.

iii)               Stranka mora predhodno pisno obvestiti Grundfosov center za pomoč strankam s priloženo kopijo originalnega računa.

iv)               Stroške vračila blaga v Grundfosovo skladišče mora plačati stranka. Če Grundfos izvede vračilo proizvodov v svoje skladišče, lahko Grundfos od stranke, poleg stroškov, ki so navedeni v odstavkih 4.5(a) ali 4.5(b) zgoraj,  zahteva tudi povračilo stroškov tega prevoza od stranke.

 

 

5.        PREHOD TVEGANJA IN LASTNINSKE PRAVICE

5.1     Grundfosov pogoj za dobavo proizvodov je DAP (gl. Incoterms 2010) na kraju dobave, kot je dogovorjeno v Pogodbi.

5.2     Za proizvode, ki se dobavljajo v povezavi z opravljanjem storitev, preide tveganje izgube ali nastanka škode na proizvodih na stranko ob zaključku opravljanja storitev. Če so proizvodi dostavljeni skupaj s opravljanjem storitev, ampak na tak način, da so proizvodi začasno pri stranki/končnemu uporabniku do končne namestitve (brez prisotnosti Grundfosovih oseb na kraju), preide tveganje v zvezi s proizvodi na stranko, ko Grundfos dostavi proizvode na kraj.

5.3     Lastninska pravica na proizvodih ne preide na stranko, dokler Grundfos ne prejme polnega plačila. Če stranka ne plača, lahko Grundfos vzame nazaj proizvode na stroške stranke. Ta pridržek lastninske pravice ne vpliva na prehod tveganja.

 

6.        PREGLED

6.1     Takoj po dobavi proizvodov (ki niso dostavljeni in nameščeni v povezavi z opravljanjem storitev), jih mora stranka pregledati, če imajo kakšne vidne napake ali pomanjkljivosti, in zagotoviti, da so dobavljeni proizvodi skladni s potrditvijo naročila. Kakršnakoli odstopanja morajo biti zabeležena in potrjena (z žigom in podpisom) na prevoznem listu ter fotografirana.    Če stranka ne opravi pregleda, ne zabeleži odstopanj na prevoznem listu in ne obvesti Grundfosa v zvezi s tem (če je to potrebno) brez odlašanja oziroma najpozneje v roku 5 dni, je izgubila pravico do uveljavljanja napak na dobavljenih proizvodih, ki bi jih stranka lahko odkrila med takšnim pregledom.

 

 

POSEBNE DOLOČBE O STORITVAH

 

7.        IZVAJANJE STORITEV IN ČAS IZVEDBE STORITEV

7.1     Grundfos izvaja storitve vešče in profesionalno.

7.2     Grundfos izvaja storitve na dogovorjenem mestu ob dogovorjenem času, če so Grundfosu dosegljive vse tehnične podrobnosti in formalnosti glede izvedbe Pogodbe.

7.3     Grundfos izvaja storitve med normalnim delovnim časom v skladu z Grundfosovim pravilnikom, veljavnim v času izvedbe storitev in dobave (vikendi in državni prazniki niso normalni delovni čas). Pogodbeni stranki se lahko dogovorita, da Grundfos dela izven normalnega delovnega časa; Grundfos bo za delo ob takih urah zaračunal po svojem veljavnem ceniku.

7.4     Če Grundfos ni izvedel storitev v 90 dneh po dogovorjenem roku, lahko stranka s pisnim obvestilom odstopi od dela Pogodbe, na katerega se nanaša zamuda.

7.5     Če stranka ne omogoči izvedbe storitve ali dela storitve, kot je bilo dogovorjeno, se uporabi odstavek 4.3.

7.6     Grundfos si mora razumno prizadevati za spoštovanje vseh strankinih pravil in določb o zdravju in varstvu pri delu in katerihkoli drugih razumnih varnostnih zahtev, ki veljajo v strankinih prostorih, o katerih je stranka obvestila Grundfos. Grundfos ni odgovoren za kršitev svojih obveznosti po Pogodbi, če je takšna kršitev nastala zaradi tega, ker je Grundfos upošteval strankina pravila o zdravju in varstvu pri delu, razen če je Grundfos prejel pisno kopijo teh pravil pred podpisom Pogodbe.

7.7     Če ni drugače dogovorjeno, Grundfos po svoji presoji odloči, ali bo storitve opravljala ena oseba ali več oseb. Preden začne Grundfos z izvajanjem storitev, mora stranka v primernem času obvestiti Grundfos, če je za izvajanje storitev potrebna več kot ena oseba. Če stranka tega ne naredi, ji lahko Grundfos zaračuna vse povečane stroške, četudi ne dokonča storitev.

7.8     Grundfos lahko za izpolnitev katerekoli od svojih obveznosti najame podizvajalce brez soglasja stranke. Grundfos je odgovoren za vsa dejanja ali opustitve svojih podizvajalcev.

 

8.        OBVEZNOSTI STRANKE

 

8.1     Stranka mora sama (na svoje stroške) in če je to potrebno, zagotoviti, da tudi njene stranke in končni uporabniki morajo:

(a)    sodelovati z Grundfosom v vseh zadevah v povezavi z opravljanjem storitev;

(b)    zagotoviti Grundfosu in njegovim predstavnikom dostop do strankinih prostorov in drugih objektov, ki ga je razumno zahtevati pri izvajanju storitev;

(c)     zagotoviti ustrezno osvetlitev, ogrevanje, električno energijo, prezračevanje in izsuševanje skladno z Grundfosovimi razumnimi potrebami;

(d)    pri vsakem obisku obvestiti Grundfosove inženirje ali predstavnike o kakršnem koli nezadovoljivem ali nepravilnem delovanju  proizvoda, na katerem Grundfos opravlja storitve;

(e)    zagotoviti Grundfosu dokumente, informacije, orodja in materiale, ki jih Grundfos potrebuje za pravilno zagotavljanje storitev (ti. »In-Put Materials«) in zagotoviti, da je In-Put Material ustrezen v vseh pogledih;

(f)     zagotoviti, da so vsi In-Put Materials delujoči in primerni za namene, za katere bodo uporabljeni v povezavi s storitvami;

(g)    pred in med izvajanjem storitev pripraviti in vzdrževati zadevni objekt, na katerem se opravljajo storitve, vključno s prepoznavanjem, monitoringom, odstranjevanjem in odlaganjem vseh nevarnih materialov skladno z veljavno zakonodajo;

(h)    obvestiti Grundfos o vseh pravilih varstva in zdravja pri delu in vseh drugih razumnih varnostnih ukrepih, ki se izvajajo v prostorih stranke;

(i)      pridobiti in obdržati vsa potrebna dovoljenja, pooblastila, licence, soglasja in privolitve in skladno z relevantno zakonodajo omogočiti Grundfosu: (i) izvajanje storitev v prostorih stranke, in (ii) uporabo In-Put Materials;

(j)      jamčiti, da je stranka zakoniti lastnik vse opreme ali sistema, na katerem se izvajajo storitve; in

(k)    v obsegu, v katerem lahko moti izvedbo storitev, tretjim osebam, ki bi želele izvesti demontažo ali pregled, onemogočiti ali odkloniti dostop do opreme ali sistema, na katerem se izvajajo storitve.

 

SPLOŠNA UREDITEV

 

9.        CENA, PLAČILNI POGOJI IN IZDAJA RAČUNOV

9.1     Grundfos določi ceno za proizvode in storitve v Pogodbi.

9.2     Stranka mora plačati Grundfosu 100% cene za naročene proizvode in storitve takoj po sklenitvi Pogodbe, skladno z izdanim predračunom. Grundfos ne bo začel proizvajati proizvodov ali izvajati storitev, dokler ne bo prejel polnega predplačila. Grundfos bo izstavil račun stranki ob dostavi.

9.3     Vsak znesek, ki ga mora plačati stranka, ne vsebuje zneska davka na dodano vrednost, davka od prodaje ali drugih zaračunljivih dajatev. Stranka mora plačati vse zgoraj navedene dajatve skupaj z zapadlim plačilom za povezane proizvode ali storitve.

9.4     Stranka mora ravnati skladno z določbami veljavne zakonodaje s področja davkov in/ali DDV in v potrebnem obsegu sodelovati z Grundfosom pri vseh zadevah s področja davkov/DDV.

9.5     Če stranka ne plača do datuma zapadlosti, lahko  Grundfos, brez vpliva na druge pravice ali pravna sredstva, ki jih ima Grundfos skladno z veljavnim pravom, zahteva plačilo stroškov opominov, stroškov izterjave dolga in zamudnih obresti. Obrestna mera zamudnih obresti je dvakratnik (2x) aktualne predpisane mesečne obrestne mere pri Madžarski narodni banki (ali najvišje obrestne mere po veljavnem pravu). Obresti tečejo dnevno od dneva zapadlosti do dejanskega plačila dolgovanega zneska. Grundfos lahko tudi (i) zahteva zavarovanje plačila za nadaljnje dobave in odloži druge dobave, dokler stranka ne zagotovi zavarovanja, ki ga zahteva Grundfos; ali (ii) odloži zagotavljanje nadaljnjih dobav, dokler stranka ne plača dolgovanih zapadlih zneskov v celoti.

9.6     Če stranka ne plača zapadlih računov (razen enega opomina) ali če preneha Pogodba, vsi dolgovi do Grundfosa takoj zapadejo v plačilo.

9.7     Če stranka plača račun, tako da Grundfos prejme celotni znesek pred datumom zapadlosti, je stranka lahko upravičena do popusta, skladno z Grundfosovim postopkom pri predčasnem plačilu. Grundfos bo na zahtevo stranke zagotovil stranki nadaljnje informacije glede postopka predčasnega plačila.

9.8     Če stranka opravi naročilo v vrednosti pod 400 EUR, Grundfos dodatno zaračuna znesek v višini 30 EUR. Grundfos ne zaračuna pavšala za administrativne stroške za naročila prek Extranet ali naročila rezervnih delov.

9.9     Če stranka opravi nujno naročilo (npr. transakcije izven normalnega obsega poslovanja ali hitra naročila, ki morajo biti dostavljena še isti ali naslednji dan), bo Grundfos stranki zaračunal vse dodatne tarife in stroške dostave ter dodaten znesek v višini 50 EUR na posamezno naročilo. Grundfos si pridržuje pravico do nesprejema nujnega naročila ali do zaračunavanja višje tarife za nujna naročila.

9.10  Če stranka prejeme proizvod v kontejnerju ali v pakiranju, ki ga je mogoče ponovno uporabiti, je le-ta last Grundfosa. Stranka mora vrniti kontejner ali takšno pakiranje Grundfosu na svoje stroške v 15 dneh od dneva dobave. Če stranka tega ne naredi, lahko Grundfos po svoji odločitvi zaračuna stranki protivrednost pakiranja oziroma kontejnerja ali pa ji zaračuna najemnino za uporabo.

9.11  Grundfos bo izdal račune stranki v EUR, razen če bo stranka najpozneje v času sklenitve pogodbe  pisno zahtevala, da ji Grundfos izdaja račune v HUF. Če stranka zahteva izdajanje računov v HUF, se stranka strinja, da Grundfos pretvori cene, ki so dogovorjene v EUR, v HUF, skladno s tečajem, ki ga določi Grundfos in je bil veljaven na dan izdaje računa.

 

 

10.     GARANCIJA

 

GARANCIJA

10.1  Grundfos zagotavlja, da bo dobavil proizvode in izvedel storitve v skladu s Pogodbo. Proizvod ima napako samo, če ni dobavljen skladno s Pogodbo zaradi neustreznega materiala, oblike ali proizvodnje s strani Grundfosa ali tretje osebe, ki dela za Grundfos.

10.2  Brez poseganja v splošno naravo odstavka 10.1, garancija ne krije škode, če je nastala zaradi (vključno); navadne uporabe in obrabe (vključno in ne omejeno na uporabo in obrabo vrtljivih in obrabljivih delov, kot so: impeler, tesnilo, ohišje črpalke, gumijasti deli in deli, prevlečeni s plastiko (drsne površine), pri njihovi namenski uporabi); uporabe proizvodov za dejavnosti, za katere niso namenjeni; namestitve proizvodov v okolje, ki ni primerno za predmetne proizvode; spremembe, prilagoditve ali popravila proizvodov ali servisiranje s strani stranke ali tretje osebe (ki ne dela za Grundfos); ravnanja v nasprotju z Grundfosovimi navodili, npr. pri namestitvi, delovanju, vzdrževanju ali servisiranju; nameščanja, zagona, delovanja (npr. uporaba kateregakoli Grundfosovega proizvoda mimo ali preko njegovih specifikacij) ali vzdrževanja v neskladju z Grundfosovimi navodili o namestitvi, delovanju, vzdrževanju ali servisiranju ali v neskladju z dobro industrijsko prakso; uporabe napačne ali neprimerne pomožne opreme v kombinaciji s proizvodi ali storitvami; uporabe slabo kvalitetnih rezervnih delov (izključena je uporaba katerihkoli Grundfosovih originalnih rezervnih delov); slučajnega ali namernega poškodovanja ali napačne uporabe proizvodov ali storitev s strani stranke ali tretje osebe (ki ne dela za Grundfos); in neskladnosti strankinega delovanja ali neskladnosti njej lastnega proizvoda z veljavno zakonodajo. Dodatno, garancija ne zagotavlja, da bo proizvod primeren za določen namen ali da bo pri dejanskem delovanju deloval skladno s  specifikacijami.

10.2a Garancija velja za gasilske proizvode, proizvode za doziranje in proizvode za dezinfekcijo, samo če so zagon teh proizvodov izvedle Grundfosove pooblaščene osebe. V tem primeru je potrebno dodatno plačilo za zagon.  

 

GARANCIJSKA DOBA

10.3  Za uveljavljanje garancije mora stranka obvestiti Grundfos o napaki brez neupravičenega odlašanja, potem ko jo je odkrila ali bi jo lahko  odkrila, in (i) pri proizvodih mora stranka v vsakem primeru obvestiti Grundfos najpozneje v 24 mesecih od datuma dobave proizvoda, vsekakor pa najpozneje v 30 mesecih od datuma proizvodnje, in (ii) pri storitvah mora stranka obvestiti Grundfos najpozneje v 24 mesecih od opravljanja storitev (»Rok za uveljavljanje garancije«). Če Grundfos proizvod namesti in/ali opravi zagon, Rok za uveljavljanje garancije za ta proizvod ne sme biti krajši kot 12 mesecev od datuma namestitve ali zagona, ki izhaja iz ustrezne dokumentacije o prevzemu.

10.4  V primeru odprave napak, Rok za uveljavljanje garancije, povezane s proizvodom in storitvami, ostane isti po odpravi napak, pri čemer:

(a)    v primeru poprave ali zamenjave posameznega dela znaša za ta del Rok za uveljavljanje garancije 12 mesecev od dneva zamenjave ali popravila, pod pogojem, da teh 12 mesecev ne preteče pred obdobjem prvotnega Roka za uveljavljanje garancije za proizvod; in

(b)    če se zamenja celoten proizvod kot tak (npr. črpalka), prične teči nov Rok za uveljavljanje garancije v trajanju 24 mesecev od dneva dobave (v vsakem primeru pa največ 30 mesecev od datuma proizvodnje) nadomestnega proizvoda.

10.5  Ne glede na predhodne določbe, Rok za uveljavljanje garancije ne traja več kot 60 mesecev od dneva proizvodnje prvega dobavljenega proizvoda, ne glede na to, ali je stranka pridobila pravico do podaljšanega Roka za uveljavljanje garancije.

 

ODPRAVA NAPAK

10.6  Grundfos mora skladno s pogoji Pogodbe odpraviti nedelujoč (del) proizvod(a) ali ustrezno popraviti izvedbo storitev, v primerih, ki jih krije garancija. Grundfos odloči, ali bo odpravil napako s popravilom ali zamenjavo (dela ali celotnega) pomanjkljivega proizvoda ali storitve. Grundfos odpravi napako takoj ko je mogoče v normalnem delovnem času.

10.7  Napake se odpravlja v kraju, kot sledi:

(a)    Okvarjene proizvode z motorjem z električno močjo, nižjo od 5,5kW (vključno s proizvodi brez motorja) in okvarjene proizvode, ki so dobavljeni v povezavi s storitvami, mora stranka vrniti v Grundfosovo delavnico na popravilo ali zamenjavo, razen če Grundfos odloči, da se bo popravilo izvedlo na kraju dobave oziroma na kraju končnega uporabnika.

(b)    Okvarjene proizvode z motorjem z električno močjo 5,5kW ali več Grundfos pregleda in popravi ali zamenja na kraju, kjer je proizvod nameščen, skladno z odstavkom 10.9.

(c)     Grundfos pregleda in popravi ali dopolni nepravilno izvedene storitve pri končnem uporabniku.

10.8  Grundfos krije stroške za popravilo ali zamenjavo proizvodov ali storitev z napako, upoštevaje naslednje določbe:

(a)    [Se ne uporablja]

(b)    [Se ne uporablja]

(c)     [Se ne uporablja]

(d)    Stranka krije Grundfosove stroške, povezane s čakanjem, ki jih povzroči stranka.

(e)    Če se izkaže, da proizvod, ki je predmet popravila ali zamenjave, nima napak, stranka krije vse tu navedene stroške, vključno s stroški prevoza. Grundfos lahko zaračuna znesek, izračunan na podlagi Grundfosovega cenika, za kritje vseh stroškov, povezanih s tako storitvijo.

10.9     Proizvodi ne smejo biti razstavljeni pred začetkom odprave napak, razen če Grundfos tako zahteva. Nespoštovanje te določbe povzroči neveljavnost garancije.

10.10  Grundfos lahko zavrne odpravo napak, če meni, da bi taka odprava napak lahko povzročila škodo okolju ali škodovala ljudem. V tem primeru ni pogodbeno, odškodninsko in drugače odgovoren (vključno z malomarnostjo) ter ne krši zakonitih ali drugih dolžnosti.

10.11   V primeru uveljavljanja garancijskega zahtevka Grundfos po lastni presoji popravi in/ali zamenja Proizvod z napako oz. posamezne dele Proizvoda z napako oz. odpravi pomanjkljivosti opravljene storitve, kar predstavlja prvotno rešitev garancijskega zahtevka stranke. Samo če Grundfos ne popravi in/ali zamenja Proizvoda z napako oz. posameznih delov Proizvoda z napako oz. odpravi pomanjkljivosti opravljene storitve v zakonskem roku, ima stranka pravico do ostalih zahtevkov po zakonu. Skladno z Grundfosovimi obveznostmi glede odgovornosti za proizvod, gl. člen 11, Grundfos v odnosu do stranke ni drugače ali nadalje odgovoren, najsi bo to v primeru kršitve pogodbe, malomarnosti ali drugače v povezavi s katerokoli napako na proizvodu ali pri storitvi.

 

11.        ODGOVORNOST ZA PROIZVOD

11.1     Grundfos sprejema odgovornost za poškodovanje ljudi (vključno s smrtjo ali poškodbo) in škodo na osebnem ali stvarnem premoženju, ki jo povzroči napaka na proizvodu, do višine, določene s kogentnimi normami veljavne zakonodaje glede odgovornosti za proizvod. Grundfosova odgovornost za škodo na kakršnemkoli premoženju (ki ni premoženje stranke), ki jo povzroči proizvod z napako, je omejena s Členom 12. Grundfosova polna odgovornost kot je določena v Odstavku 12.2 za škodo na kakršnemkoli premoženju je omejena na najvišji znesek 3 milijonov EUR (za zahtevek in v letni vsoti) in z zneskom, določenim v Odstavku 12.2. Stranka sprejema vso odgovornost za proizvod, ki je  skladno s tem Odstavkom 11.1 ni mogoče pripisati Grundfosu.

11.2     Če je stranka odgovorna za škodo, ki je skladno z Odstavkom 11.1 pripisljiva drugi stranki, mora druga stranka plačati odškodnino prvi stranki za vsak znesek, ki je bil plačan v neskladju z Odstavkom 11.1.

 

12.        OMEJITEV ODGOVORNOSTI

12.1     V obsegu, ki ga dovoljuje veljavna zakonodaja, nobena stranka ni odgovorna (pogodbeno, odškodninsko (vključno z malomarnostjo), kršitvijo zakonske dolžnosti ali kako drugače) za izgubo proizvodnje, izgubo prometa, izgubo dobička, izgubo poslovne priložnosti, izgubo podatkov, izgubo prihrankov, izgubo dobrega imena, izgubo v zvezi z nepooblaščenim dostopom do podatkov ali sistemov, izgubo zaradi prekinitve poslovanja ali katere koli druge posredne ali posledične izgube kakršne koli vrste, ki izhajajo iz ali v zvezi s to Pogodbo ali kršitve le-te. Grundfos ne odgovarja za morebitno pavšalno škodo, kazni in podobne pogodbene obveznosti, ki jih stranki zaračuna tretja oseba.

12.2     V obsegu, ki ga dovoljuje veljavna zakonodaja, Grundfosova celotna odgovornost (vključno v zvezi s plačilom pavšalne odškodnine (če obstaja) in zahtevki tretjih oseb) do kupca v zvezi z vsemi izgubami, ki izhajajo iz Pogodbe ali v zvezi s to Pogodbo in sodelovanjem, ne glede na to, ali gre za pogodbo, odškodninsko odgovornost (vključno z malomarnostjo), kršitev zakonske dajatve ali drugega, ne bo presegla zneska, ki je enak 30% skupnega zneska, ki ga je kupec plačal ali mora plačati po posameznem naročilu na podlagi Pogodbe (brez DDV in davkov), na kateri temelji terjatev.

12.3     Omejitve iz določb 12.1 in 12.2 ne veljajo, če dejanje ali opustitev stranke povzroči nematerialno škodo; ali če stranka namerno ali iz hude malomarnosti povzroči, da druga stranka utrpi škodo.

12.4     Pogodbenici se strinjata, da cena proizvodov in storitev odraža ravnovesje pravic in obveznosti pogodbenic po Pogodbi, vključno z omejitvami iz člena 12.

12.5     Če uveljavlja kupec zahtevek za izgube, ki izhajajo iz več kot ene pogodbe, ali ene ali več dogovorov v kombinaciji z dobavo proizvodov ali drugih storitev podjetja Grundfos, bo celotna odgovornost Grundfosa (če obstaja) razporejena na različne dobave, sorazmerno s soprispevkom vsake posamezne dobave. Vsak del celotne odgovornosti bo določen v skladu s pravno podlago, ki velja med strankama za omenjeni del skupnih izgub, vključno z morebitno dogovorjeno omejitvijo odgovornosti.

 

13.        PRAVICE INTELEKTUALNE LASTNINE

13.1     Kupec mora proizvode uporabljati na način, da ne krši pravic tretjih oseb.

13.2     Nič v Pogodbi ali kako drugače, ne prenaša ali ali ne dodeljuje kakršnih koli pravic intelektualne lastnine, ki izhajajo iz proizvodov ali storitev ali so v povezavi z njimi ali v vseh priročnikih ali dokumentaciji, ki jih Grundfos daje kupcu.

 

14.        ODŠKODNINA TRETJIM OSEBAM

14.1     V zvezi s kakršnim koli postopkom, ki ga proti Grundfosu sproži tretja oseba (ne kupec), kadar ta postopek izhaja iz ali v povezavi s Pogodbo, nakupom ali uporabo proizvodov in / ali plačilom storitve s strani družbe ali kupca, kupec povrne Grundfosu vse izgube, ki izhajajo iz tega postopka, razen v kolikor oz. v delu, v katerem je Grundfos izgubo povzročil iz hude malomarnosti ali naklepoma. "Postopek" pomeni kateri koli sodni, upravni ali arbitražni postopek, tožbo, zahtevek, preiskavo ali drug postopek. "Izgube" pomenijo morebitne sodne stroške (vključno z vsemi razumnimi lastnimi stroški, ki nastanejo zaradi obrambe v postopku ali katere koli povezane preiskave ali pogajanj) in vsakršno drugo izgubo (vključno z zneskom, prisojenim ali plačanim kot poravnava v katerem koli postopku).

 

15.        SKICE IN OPISI

 

15.1     Vse informacije o teži, dimenzijah, zmogljivosti, ceni, tehničnih in drugih podatkih, ki so navedeni v katalogih, letakih, okrožnicah, oglasih, slikah in cenikih, so samo približne in za Grundfos niso zavezujoče, razen če jih Grundfos potrdi pred sklenitvijo Pogodbe.

15.2     Vse risbe in opisi, ki jih dobavi Grundfos, ostanejo v lasti Grundfosa in jih ni dovoljeno kopirati, razmnoževati, posredovati dalje ali na kakršen koli drug način posredovati tretji osebi brez dovoljenja Grundfosa. Kupec prejme pravice na risbah in opisih za namene pravilne namestitve, zagona, delovanja in vzdrževanja proizvodov. Na zahtevo Grundfosa bo kupec te podatke obravnaval zaupno.

 

16.        SPREMEMBE

 

16.1     Grundfos ima pravico do sprememb proizvodov in storitev, ki so potrebne za uskladitev z veljavno zakonodajo ali varnostnimi zahtevami, ali ki ne vplivajo bistveno negativno na naravo ali kakovost proizvodov in storitev. Če Grundfos zahteva druge spremembe, kupec ne bo neupravičeno zadržal ali odložil soglasja k takšni zahtevi.

 

17.        ZAUPNOST

17.1     Stranka (pogodbenica prejemnica) mora strogo zaupno hraniti vsa tehnična ali komercialna znanja, specifikacije, cene, izume, postopke, pobude in vse druge informacije v zvezi s posli stranke, ki razkriva informacije, njenimi proizvodi in storitvami, ki so zaupne narave (zaupne informacije) in so jih druga stranka (stranka, ki je razkrila informacijo), njeni zaposleni, zastopniki ali podizvajalci (predstavniki) razkrili prejemnici. Prejemnica ne sme uporabljati zaupnih informacij pogodbenice, ki razkriva podatke, za druge namene, kot za izpolnjevanje njenih obveznosti iz naslova Pogodbe. Prepoved iz prejšnjega stavka vključuje tudi prepoved (razen če to dovoljuje veljavna zakonodaja) izvajanja obratnega inženiringa proizvodov in katere koli programske opreme v proizvodih. Prejemnica lahko zaupne podatke razkrije samo tistim svojim predstavnikom, ki se z njimi morajo seznaniti zaradi izvajanja pogodbenih obveznosti in pravic prejemnice. Prejemnica zagotovi, da taki zastopniki izpolnjujejo obveznosti iz tega člena 17, kot da bi bili pogodbena stranka.

17.2     Obveznosti iz tega člena 17 veljajo od sklenitve Pogodbe in - v skladu z veljavno zakonodajo – še pet let po izteku ali prenehanju veljavnosti pogodbe.

 

18.        VIŠJA SILA

18.1     Nobena pogodbenica ne bo kršila Pogodbe niti ne bo odgovorna za zamudo pri izpolnjevanju ali neizpolnitev katere koli svoje obveznosti iz Pogodbe, če je takšna zamuda ali neuspeh posledica ovire, na katero ne more vplivati ("Višja sila"). V primeru Višje sile se stranke dogovorijo, da bodo prizadeti stranki odložile izpolnitev obveznosti, vse dokler obstoji Višja sila.

18.2     Vsaka pogodbenica lahko Pogodbo s pisnim obvestilom drugi stranki odpove s takojšnjim učinkom, če se obdobje višje sile nadaljuje tri mesece zapored. V primeru odpovedi zaradi takšnih okoliščin nobena stranka ne odgovarja drugi za tako odpoved. Vendar takšna odpoved ne bo vplivala na že obstoječe obveznosti ali zahtevke ali druge določbe Pogodbe.

 

19.        PRENEHANJE

19.1     Če pogodbenica bistveno krši svoje obveznosti iz Pogodbe, lahko druga pogodbenica brez vpliva na njene druge pravice in pravna sredstva s takojšnjim učinkom odpove Pogodbo v naslednjih primerih: i) bistvene kršitve ni mogoče odpraviti; ali ii) pogodbena stranka, ki krši Pogodbo, kršitve ne odpravi v 30 dneh po prejemu poziva k odpravi kršitve; ali iii) odprava bistvene kršitve, ki je po sami naravi ni mogoče odpraviti v roku 30 dni, ni bila začeta v roku 30 dni od prejema poziva k odpravi kršitve oz. pričetku odprave kršitve. Navedeno ne vpliva na druge pravice do odpovedi, ki temeljijo na Pogodbi.

19.2     Prenehanje Pogodbe (ne glede na vzrok) ne bo vplivalo na tiste določbe Pogodbe, iz katerih po sami naravi ali potrebi izhaja, da ostajajo v veljavi tudi po prenehanju Pogodbe.

 

 

20.        OSEBNI PODATKI

20.1     Grundfos osebne podatke obdeluje v skladu z veljavno zakonodajo o varstvu podatkov. Za več podatkov lahko obiščete Grundfosovo spletno stran, kjer je na voljo Grundfosovo obvestilo o zasebnosti.

 

21.        RAZNO

21.1     Kupec Pogodbe ne sme prenesti ali odstopiti niti v celoti niti delno po zakonu ali kako drugače brez predhodnega pisnega soglasja Grundfosa. Grundfos lahko brez predhodnega obvestila prenese pravice in obveznosti iz Pogodbe, vključno s splošnimi pogoji, na katero koli podjetje v skupini Grundfos.

21.2     Proizvodi morajo imeti Grundfosovo imensko tablico, vključno z Grundfosovimi blagovnimi znamkami. Stranka nima pravice uporabljati blagovnih imen, blagovnih znamk, logotipov ali drugih znakov ali identifikacijskih simbolov druge stranke, razen če poda druga stranka za to predhodno pisno soglasje.

21.3     Besede z veliko začetnico in fraze, katerih pomen s temi Splošnimi pogoji ni opredeljen drugače, imajo v vseh ozirih Pogodbe enak pomen, razen v kolikor je iz konteksta razviden drugačen pomen.

21.4     Grundfosova ponudba velja 30 dni od datuma izdaje, razen če Grundfos v ponudbi določi drugače. Grundfos si pridržuje pravico do sprememb ponudb pred iztekom obdobja veljavnosti, če stranka ni oddala naročila.

21.5     Grundfos lahko kadar koli in brez kakršne koli odgovornosti, popravi tipografske, pisarniške ali druge napake ali opustitve prodajnega materiala, ponudb, cenikov, potrdil naročil, računov ali drugih dokumentov ali informacij, ki jih je izdal Grundfos.

 

22.        NADZOR IZVOZA IN SANKCIJE

22.1     Vsaka dostava po Pogodbi je lahko predmet izvoznega nadzora in trgovinskih sankcij, med drugim tudi v skladu s pravili Evropske unije, Združenih narodov in Združenih držav Amerike.

22.2     Grundfos dobavo prooizvodov in storitev kupcu pogojuje s tem, da kupec spoštuje vsa veljavna pravila o nadzoru izvoza in trgovinskih sankcij, vključno s tem, da ima vpeljane ustrezne postopke in nadzor skladnosti.

22.3     Če Grundfos zaradi pravil o nadzoru izvoza in trgovinskih sankcij meni, da je ali bo dobava prepovedana, ovirana, omejena, ali da bi lahko bila izpolnitev obveznosti po Pogodbi znatno škodljiva, lahko Grundfos prekliče ali odloži dobavo proizvodov ali storitev. V takih primerih Grundfos ne bo odgovoren za kakršne koli neposredne ali posredne zahtevke ali izgube.

22.4     Z namenom, da se omogoči organom ali Grundfosu izvedba preglede skladnosti kupca s pravili o nadzoru izvoza in pravili o trgovinskih sankcijah, ali kot podpora Grundfosovi vlogi pri  pristojnih organih v zvezi z izvozom in / ali prodajo proizvodov in / ali storitev po Pogodbi, bo Kupec na podlagi razumne zahteve Grundfosa, slednjemu takoj predložil vse informacije o določenem končnem uporabniku, udeležencih pri dobavi, določenem namembnem kraju (-ih) in predvideni uporabi proizvodov in / ali storitev.

 

 

23.        UPORABA PRAVA IN PRISTOJNO SODIŠČE

23.1     Za Pogodbo in kakršen koli spor ali zahtevek, ki izhaja iz ali je povezan z njo ali njenim oblikovanjem (vključno z nepogodbenimi spori ali zahtevki), se uporablja zakonodaja Republike Slovenije, brez sklicevanja na kolizijska pravila, ki bi lahko povzročila uporabo zakonov druge države. Konvencija Združenih narodov o pogodbah o mednarodni prodaji blaga (CISG) se ne uporablja.

23.2     Za reševanje morebitnih sporov ali zahtevkov (vključno z nepogodbenimi), ki izhajajo iz Pogodbe ali so v zvezi s Pogodbo ali njenim nastankom, je pristojno stvarno pristojno sodišče v Republiki Sloveniji, in sicer v Ljubljani.

INTRODUCTION

 

1.        APPLICATION

1.1     These General Terms and Conditions of Sale and Delivery of products and services (“General Terms and Conditions“) apply to the delivery by GRUNDFOS South East Europe Kft. (“Grundfos”) of products, services, and products in connection with services to customer.

1.2     The parties have entered into an agreement, when one party’s offer is accepted by the other party, without reservations or alterations. Customer’s receipt of products or services constitutes acceptance in fact. The offer, the acceptance, the General Terms and Conditions (irrespective of reference or not), and any other documents explicitly accepted by Grundfos, constitute the agreement for customer’s purchase of products or services (the “Agreement”).

1.3     Customer must ensure that Grundfos’ acceptance corresponds with customer’s offer. If customer fails to notify Grundfos of any non-correspondence without undue delay, Grundfos’ acceptance will be binding upon customer.

1.4     If Grundfos and Customer have entered into a separate agreement accepted by both parties in writing, the terms of that agreement shall apply. These General Terms and Conditions shall, however, apply to matters not addressed in the aforementioned agreement. Grundfos hereby excludes the applicability of any general terms and conditions of customer not individually negotiated between the parties.

 

2.        INFORMATION BY GRUNDFOS

2.1     Customer is encouraged to seek any necessary technical advice from third-party. Except for specific information about a product, Grundfos is not liable for information given to customer (or any third party acting on customer’s behalf) before, on or after the Agreement has entered into force, unless the parties have entered into a written agreement including Grundfos’ advice and separate payment for any such advice.

2.2     If the parties enter into an agreement based on advice from Grundfos, then Grundfos’ advice is given only within Grundfos’ field of operation, to Grundfos’ best knowledge at the time the advice was given and solely based on the information provided by customer to Grundfos.                                          

 

PRODUCT SPECIFIC REGULATION     

                                  

3.        GRUNDFOS’ INSPECTION

3.1     All products are subject to inspection and standard testing before dispatch from the factory. Grundfos may supply a test certificate on customer’s demand and at a charge requested by Grundfos. The test certificate is intended to establish the fact that products are manufactured following Grundfos’ specifications unless the products are disapproved by the test.

 

4.        DELIVERY OF THE PRODUCTS, TIME OF DELIVERY AND CANCELLATION

4.1     Grundfos shall deliver all products at the place and time agreed in writing, provided that customer has ensured that all technical details and formalities concerning the execution of the Agreement are available to Grundfos, and provided that customer has paid the advance payment in full according to Clause 9.2 below. The timeline stated on the quotation and/or the order confirmation by Grundfos is a non-binding estimate only and does not constitute an agreement on time of delivery. If the parties have not agreed on a time of delivery, then Grundfos will deliver within reasonable time from the time the order confirmation is issued.

4.2     If products are not delivered 90 days after the agreed delivery date (if any), customer may terminate for cause, by written notification, the part of the Agreement concerning products in delay.

4.3     If customer does not take delivery (fully or partly) on the date agreed, customer shall pay as if delivery had been made, and Grundfos is entitled to damages from customer for any loss suffered due to non-delivery including additional transportation and storage costs. Grundfos may alternatively terminate the Agreement (or part thereof) and claim damages from customer for any loss suffered caused by non-delivery, including any additional transportation costs.

4.4     Grundfos may deliver the products by instalments in any sequence.

4.5     Customer is entitled to cancel the Agreement without any financial implications within 24 hours after having sent a purchase order to Grundfos, unless Grundfos has started production of said order. Any cancellation after this timeframe shall be subject to Grundfos’ written approval thereof, and if Grundfos accepts to cancel the Agreement, cancellation shall happen according to the following terms:

(a)    In case of cancellation of products continuously kept on inventory, Grundfos shall apply a cancellation fee of 20% of the net invoice value of the Agreement.

(b)    In case of non-inventory products, Grundfos shall apply the following costs: i) A cancellation fee of 20% of the net invoice value of the Agreement, ii) the actual costs including manufacturing costs, and iii) the cost of reshipment to the manufacturer. Upon request from customer, Grundfos shall present a list of these costs.

(c)     If the products have been (partially) delivered, the following additional conditions apply to the cancellation:

i)                 Products more than one year old from the production date cannot be returned to Grundfos.

ii)                Returned products must be in their original, undamaged state and packaging.

iii)               Customer shall notify Grundfos’ customer service in advance in writing with a copy of the original invoice attached.

iv)               The cost of the reshipment of the goods to Grundfos’ warehouse shall be paid by customer. If Grundfos performs the reshipment of the products to Grundfos’ warehouse, Grundfos is entitled to claim these freight costs from customer in addition to the costs stated under Clause 4.5(a) or 4.5(b) above.

 

5.        RISK AND TITLE

5.1     Grundfos’ term of delivery of products is DAP (cf. Incoterms 2010) at the place of delivery as specified in the Agreement.

5.2     For products delivered in connection with service, the risk of loss of or damage to the products will pass to customer on completion of the services. However, if the products are delivered together with the services, but so that the products are temporarily placed at customer’s/end-user’s site until installation (without Grundfos being present at the site), the risk of the products passes to customer when Grundfos delivers the products to the site.

5.3     Ownership of the products will not pass to customer until Grundfos has received payment in full. If customer does not pay, Grundfos is entitled to take back the products at the sole cost of customer. Such retention of ownership does not affect the passing of risk.

 

6.        EXAMINATION

6.1     Immediately upon delivery of products (not delivered and installed in connection with service), customer shall examine the products for any visible defects, or shortage, and ensure that the delivered products comply with the order confirmation. Any discrepancies shall be noted on the way-bill in a certified manner (including stamp and signature) and relevant pictures shall be taken. If customer does not make such examination, note any discrepancies on the way-bill and notify Grundfos accordingly (if relevant) without delay and no later than 5 days, customer shall forfeit its right to claim any defects in the delivered products, which customer could have discovered during such examination.

 

SERVICE SPECIFIC REGULATION

 

7.        DELIVERY OF SERVICES AND TIME OF DELIVERY

7.1     Grundfos shall perform the services professionally and skilfully.

7.2     Grundfos shall perform the services at the agreed place and time, provided that all technical details and formalities concerning the execution of the Agreement are available to Grundfos.

7.3     Grundfos shall perform the services during normal working hours according to Grundfos’ policy at the time of performance and delivery (weekends and national holidays are outside normal working hours). The parties may agree that Grundfos shall perform work outside normal working hours; Grundfos will invoice for such hours at Grundfos’ applicable rates.

7.4     If Grundfos has not performed and delivered the services 90 days after the agreed delivery date, customer is entitled to terminate for cause, by written notification, the part of the Agreement in delay.

7.5     Clause 4.3 shall apply if customer does not take delivery of the services or part thereof as agreed.

7.6     Grundfos shall use reasonable endeavours to observe all customer’s health and safety rules and regulations, and any other reasonable security requirements that apply at customer's premises, which customer has communicated to Grundfos. Grundfos shall not be liable for any breach of its obligations under the Agreement, to the extent that such breach is due to Grundfos’ observation of customer’s health and safety regulations, unless Grundfos had received a written copy of such regulations before entering into the Agreement.

7.7     Unless otherwise agreed, Grundfos will at its sole discretion decide whether the services will be performed by one or more person(s). In due time before Grundfos’ performance of the services, customer shall inform Grundfos, if the performance of services will require more than one person. If customer fails to do so, Grundfos may invoice all accrued costs to customer, also without completion of the services. 

7.8     Grundfos shall be entitled to sub-contract any of its obligations without the consent of customer. Grundfos is liable for any acts or omissions of its sub-suppliers.

 

8.        CUSTOMER’S OBLIGATIONS

 

8.1     Customer shall (at its sole cost) and where relevant ensure that its customers’ and end-users’:

(a)    co-operate with Grundfos in all matters relating to the delivery of the services;

(b)    provide to Grundfos and its representatives access to customer’s premises and other facilities as reasonably required for the delivery of the services;

(c)     provide adequate lighting, heating, power, ventilation and draining as per Grundfos’ reasonable requirements;

(d)    inform Grundfos’ engineer or representatives on each visit about any unsatisfactory running or irregular performance of the product on which Grundfos is performing services;

(e)    provide to Grundfos with such documents, information, tools and materials required by Grundfos for the proper provision of the services (“In-Put Materials”) and ensure that the In-Put Material is accurate in all material respects;

(f)     ensure that all In-Put Materials are in good working order and suitable for the purposes for which they are used in relation to the services;

(g)    prepare and maintain the relevant premises for the supply of the services, including identifying, monitoring, removing and disposing of any hazardous materials following all applicable laws, before and during the performance of the services;

(h)    inform Grundfos of all health and safety rules and regulations and any other reasonable security requirements that apply at customer’s premises;

(i)      obtain and maintain all necessary permits, authorisations, licences, approvals, and consents and comply with all relevant legislation enabling Grundfos to - (i) deliver the services at customer’s premises and - (ii) to use the In-Put Materials;

(j)      warrant that customer is the rightful owner of any equipment or system to be serviced; and

(k)    to the extent that it may interfere with the performance of the services, not provide or grant access to any equipment or system to be serviced to any third party for examination or disassembly.

 

GENERAL REGULATION  

 

9.        PRICE, PAYMENT TERMS AND INVOICING

9.1     The price for the products and services is as stated by Grundfos in the Agreement.

9.2     Customer shall pay Grundfos 100% of the price for the products and services ordered immediately upon conclusion of the Agreement according to the issued proforma invoice. Grundfos will not initiate manufacturing of any products or perform any services, before Grundfos has received full prepayment. Grundfos will invoice customer upon delivery.

9.3     Any amount payable by customer is exclusive of amounts in respect of value added tax, sales tax or other excise duties chargeable. Customer shall pay any of the aforementioned at the same time as payment is due for related products or services.

9.4     Customer shall comply with all requirements in applicable law in relation to tax and/or VAT and cooperate with Grundfos in all tax/VAT matters to the extent needed.

9.5     If customer does not pay on the due date, Grundfos may, with no effect on any other right or remedy that Grundfos may have under applicable law, claim payment for reminders, collection charges and interest. Interest is fixed at two (2) times the current base rate of the Hungarian National Bank per month (or the highest interest rate under applicable law). Interest will accrue daily from the due date until actual payment of the overdue amount. Grundfos may also (i) make further supply subject to guaranteed payment and suspend other deliveries until customer has provided the guarantee required by Grundfos; or (ii) suspend the provision of further deliveries until customer has paid the overdue amounts in full.

9.6     If customer does not pay overdue invoices (despite one reminder) or in the event of termination of the Agreement, then all payments payable to Grundfos, become due for immediate payment.

9.7     If customer pays an invoice so that Grundfos receives the full amount earlier than on the due date, customer could be eligible to a discount under Grundfos’ early payment procedure. Grundfos will provide further information about early payment procedure upon request.

9.8     If the customer places an order with a value below EUR 400, then Grundfos will charge an extra administration fee of EUR 30. Grundfos will not add an administration fee to orders placed via Extranet or orders for spare parts.

9.9     If customer places an urgent order (e.g. transactions outside the normal course of business or express orders to be delivered the same day or next day), then Grundfos will charge customer all additional delivery fees and costs as well as an urgency fee per order of EUR 50. Grundfos reserves its right not to accept an urgent order or to apply a higher urgency fee.

9.10  If customer receives products in reusable packaging material or containers, that is Grundfos’ property. Customer shall return the reusable packaging material or container to Grundfos at customer’s own cost within 15 days from the delivery date. If customer fails to do so, Grundfos may, at its discretion, either invoice customer for the counter-value of the packaging material or container or charge a rental fee for its use.

9.11  Grundfos will invoice the customer in EUR, unless the customer – not later than at the time the Agreement is concluded – requests in writing that Grundfos shall invoice in HUF. If the customer requests the invoice to be issued in HUF, then the customer agrees that Grundfos shall convert the agreed price in EUR to HUF at the rate specified by Grundfos that was effective on the date of the issuance of the invoice. 

 

10.     WARRANTY

 

THE WARRANTY

10.1  Grundfos warrants to deliver the products and services in accordance with the Agreement. A product is defective only if it is not delivered in accordance with the Agreement due to faulty material, design or manufacturing on the part of Grundfos or a third party acting on Grundfos’ behalf.

10.2  Without altering the general nature of Clause 10.1, damage is not covered by the warranty if due to (including); ordinary wear and tear (including but not limited to the wear and tear of rotating and wearing parts, such as impeller, wear ring, pump housing, rubber and plastic-coated parts (sliding surfaces), as a result of their intended use); use of the products for applications for which they are not intended; installation of the products in an environment not suitable for the products in question; modifications, alterations or repair of the products or services undertaken by customer or a third party (not acting on Grundfos’ behalf); failure to follow Grundfos’ instructions, e.g. in its installation-, operation-, maintenance- or service manual; installation, commissioning, operation (e.g. use of any Grundfos product outside its specifications) or maintenance not in accordance with Grundfos installation-, operation-, maintenance- or service manual or with good industry practice; use of faulty or inadequate ancillary equipment in combination with the products or services; the application of spare parts of poor quality (excluding the application of any Grundfos original spare parts); accidental or intentional damage or misuse of the products or services by customer or third party (not acting on Grundfos’ behalf); and customer’s or its own product’s non-compliance with applicable law and regulation. In addition, the warranty does not cover that a product is fit for a particular purpose or will be able to meet its specifications in the actual application.

10.2a For firefighting products and dosing and disinfection products, the warranty is only valid if the products are commissioned by Grundfos’ authorised personnel. Commissioning fees apply.

 

WARRANTY PERIOD

10.3  For the warranty to apply, customer must notify Grundfos of a defect without undue delay after customer becomes or should have become aware of the defect, and (i) for products, customer must in every respect notify Grundfos no later than 24 months from the date of delivery of the product, however not exceeding 30 months from the date of production, and (ii) for services, customer must notify Grundfos no later than 24 months from the performance of the services (the “Warranty Notification Period”). If Grundfos installs and/or commissions the product, then the Warranty Notification Period for that product, will be not less than 12 months from the date of installation and/or commissioning based on the appropriate handover documentation.

10.4  In case of remedy of defects, the Warranty Notification Period related to the product and services as such remains the same after remedy, however:

(a)    if part of a product is repaired or replaced, the Warranty Notification Period concerning such repaired/replaced parts is 12 months from the date of repair or replacement, provided that the 12 months’ period does not expire before the expiry of the initial Warranty Notification Period for the product, and

(b)    if the whole product as such (e.g. a pump) is replaced, a new Warranty Notification Period of 24 months from the date of delivery (however maximum 30 months from date of production) of the replaced Product applies.

10.5  Notwithstanding the above, the Warranty Notification Period does not exceed 60 months calculated from date of production of the first product delivered whether or not customer has acquired extended Warranty Notification Period.

 

REMEDY OF DEFECTS

10.6  Subject to the terms of the Agreement, Grundfos shall remedy defective (parts of a) product or services covered by the warranty. Grundfos decides whether Grundfos remedies by repair or replacement (in whole or part) of the defective (part of the) product or services. Grundfos remedies defects as soon as possible within normal working hours.

10.7  Place of remedial works is as follows:

(a)    For products with a motor with an electrical power of less than 5.5 kW (including products without a motor) and products delivered in connection with services, customer must return the defective product to Grundfos’ workshop for repair or replacement, unless Grundfos decides that the remedial works will take place at the place of delivery or the site of the end-user.

(b)    For products with a motor with an electrical power of 5.5 kW or greater Grundfos inspects and repairs or replaces the defective product at the site of installation, subject to clause 10.9.

(c)     For services, Grundfos inspects and repairs or replaces the defective services at the site of installation of the end-user.

10.8  Grundfos shall cover its costs for repair or replacement of defective products and services, considering the following provisions:

(a)    [Not in use]

(c)     [Not in use]

(d)    Customer covers Grundfos’ expenses related to waiting time caused by customer.

(e)    If it shows that a product subject to repair or replacement did not suffer from a defect, customer shall cover all expenses related hereto, including transportation costs. Grundfos may charge an amount calculated based on Grundfos’ pricelist to cover any expenses related to such service.

10.9     Unless requested by Grundfos, the product may not be disassembled prior to remedy. Any failure to comply herewith will render the warranty void.

10.10  Grundfos may refuse – and will not be liable, in contract, tort (including negligence), breach of statutory duty or otherwise – to remedy defects, if Grundfos considers that such remedy may cause harm to the environment or injury to people.

10.11  In case of a warranty claim, Grundfos is entitled to and shall have the right to repair and/or replace (at its discretion) defective (parts of a) product or services as the customer’s first remedy. Only if Grundfos fails to repair and/or replace defective (parts of a) product or services within the deadline provided by the law, the customer shall have the right to use the other remedies provided by the law. Subject to Grundfos’ obligations as regards product liability, cf. clause 11, Grundfos has no other or further liability to customer whether for breach of agreement, negligence or otherwise in respect of any defect in a product or service.

 

11.        PRODUCT LIABILITY

11.1     Grundfos assumes liability for personal injury (including death or injury) and damage to real and personal property, caused by defective products to the extent set out in applicable mandatory law on product liability. Grundfos’ liability for damage to real and personal property (not being consumer property) caused by a defective product is subject to the limitations in Clause 12, however, so that Grundfos’ total liability as described Clause 12.2 for damage to real and personal property is limited to a maximum amount of the higher of EUR 3 million (per claim and in the annual aggregate) and the amount set out in Clause 12.2. Customer assumes all product liability, which is not allocated to Grundfos in this Clause 11.1.

11.2      If a party is held liable for damages allocated to the other party in Clause 11.1, then the other party shall indemnify the first party for any amount paid inconsistently with the allocation in Clause 11.1.

 

12.        LIMITATION OF LIABILITY 

12.1     To the extent permitted by applicable law, neither party is liable (in contract, tort (including negligence), breach of statutory duty or otherwise) for loss of production, loss of turnover, loss of profit, loss of business opportunity, loss of data, loss of savings, loss of goodwill, loss relating to unauthorised access to data or systems, loss as a result of business interruption, or any other indirect or consequential losses of any kind whatsoever arising under, relating to or in connection with the Agreement or a breach hereof. Grundfos is not liable for any liquidated damages, penalties and similar contractual liabilities levied against the customer by a third party.

12.2     To the extent permitted by applicable law, Grundfos’ total liability (including in regard to payment of liquidated damages(if any) and third-party claims) towards customer in respect of all losses arising under or in connection with the Agreement and the cooperation, whether in contract, tort (including negligence), breach of statutory duty or otherwise, will not exceed an amount equal to 30 % of the total amount paid or payable by customer under the individual order based on the Agreement (excl. any VAT and taxes) on which the claim is based.

12.3     The limitations set out in Clause 12.1 and 12.2 do not apply if an act or failure to act of a party causes personal injury; or if a party intentionally or in gross negligence causes the other party to suffer a loss.

12.4     The parties agree that the price for the products and services reflects the balance of the parties’ rights and obligations under the Agreement, including also the limitations in Clause 12.

12.5     If customer bases a claim on losses deriving from more than one agreement or from one or more agreements in combination with a Grundfos company’s delivery of products or other services, then Grundfos’ total liability (if any) will be allocated to the different supplies based on each such supplies’ contribution to the claimed losses. Each allocated part of the total liability will be determined in accordance with the legal basis applicable between the parties for the said part of the total losses, including any agreed limitation of liability.

 

13.        INTELLECTUAL PROPERTY RIGHTS

13.1     Customer shall use the products in a manner that does not infringe third party rights.

13.2     Nothing in the Agreement or otherwise transfers or assigns any intellectual property rights, in or arising out of or in connection with the products or services and in any manuals or documentation given by Grundfos to customer. 

 

14.        INDEMNIFICATION 

14.1     With respect to any Proceeding brought by someone other than customer against Grundfos and that arises out of or in connection with the Agreement, the corporation or customer’s purchase or use of the products and/or purchase of services, customer shall indemnify Grundfos against all Losses arising out of that Proceeding, except to the extent that Grundfos negligently or intentionally caused those Losses. “Proceeding” means any judicial, administrative, or arbitration action, suit, claim, investigation, or another proceeding. “Losses” mean any litigation expenses (including any reasonable out-of-pocket expense incurred in defending a proceeding or in any related investigation or negotiation) and any loss (including any amount awarded in, or paid in settlement of, any Proceeding).

 

15.        DRAWINGS AND DESCRIPTIONS  

15.1     Any information of weight, dimensions, capacity, price, technical and other data given in catalogues, leaflets, circular letters, advertisements, pictures and pricelists is approximate only and is not binding on Grundfos, unless verified with Grundfos before entering into the Agreement.

15.2     All drawings and descriptions supplied by Grundfos remain the property of Grundfos and may not be copied, reproduced, passed on to or in any other way communicated to a third party without permission from Grundfos. Customer receives the ownership of drawings and descriptions necessary for the proper installation, starting, operation and maintenance of the products. Upon Grundfos’ demand, customer shall treat these data confidentially.

 

16.        CHANGES  

16.1     Grundfos shall have the right to make any changes to the products and services, which are necessary to comply with applicable law or safety requirement, or which do not significantly affect the nature or quality of the products and services negatively. If Grundfos requests other changes, customer shall not unreasonably withhold or delay consent to such requests.

 

17.        CONFIDENTIALITY 

17.1     A party (receiving party) shall keep in strict confidence all technical or commercial know-how, specifications, prices, inventions, processes, initiatives and any other information concerning the disclosing party's business, its products and services which are of a confidential nature (confidential information) and have been disclosed to the receiving party by the other party (disclosing party), its employees, agents or subcontractors (representatives). The receiving party shall not use confidential information of the disclosing party for purposes other than the performance of its obligations under the Agreement, including (except as permitted by applicable law) not to reverse engineer the products and any software in the products. The receiving party may only disclose confidential information to those of its representatives who need to know to discharge the receiving party's obligations and rights under the Agreement and shall ensure that such representatives comply with the obligations set out in this Clause 17 as though they were a party to these terms.

17.2     The obligations under this Clause 17 apply from the execution of the Agreement and – subject to applicable law – for a period of 5 years after the Agreement expires or is terminated.

 

18.        FORCE MAJEURE 

18.1     Neither party will be in breach of the Agreement nor liable for delay in performing, or failure to perform, any of its obligations under the Agreement if such delay or failure results from a hindrance beyond its reasonable control (“Force Majeure”). In the event of a Force Majeure, the parties agree to suspend the affected party's obligations until the Force Majeure situation ceases to exist.

18.2     Either party may terminate the Agreement with immediate effect upon notice to the other party if the period of Force Majeure continues for a period of 3 consecutive months. In case of termination due to such circumstances, neither party shall be liable to the other for such termination. However, such termination will not affect any pre-existing liabilities or claims or any other provisions of the Agreement.

 

19.        TERMINATION  

19.1     If a party materially breaches its obligations under the Agreement, the other party may, with no effect on its other rights and remedies, terminate the Agreement for cause with immediate effect, if either such material breach is incapable of remedy; if the defaulting party to the Agreement has failed to remedy within 30 days after receiving notice requiring it to do so; or if – for material breaches that due to their nature are incapable of remedying within the 30 days period – such remedy has not been initiated within 30 days after receiving notice requiring it to do so. The above-mentioned does not affect any other termination rights given under the Agreement.  

19.2     Termination of the Agreement (regardless of the cause) will not affect those provisions of the Agreement which, by nature or necessity, provide that they operate after any expiration.

 

20.        PERSONAL DATA

21.        MISCELLANEOUS

21.1     The Agreement may not be transferred or assigned in whole or in part by operation of law or otherwise by customer, without the prior written consent from Grundfos. Without prior notice, Grundfos may assign rights and obligations under the Agreement, including the General Terms and Conditions, to any company within the Grundfos group.

21.2     The products must bear a Grundfos nameplate, including Grundfos’ trademarks. A party does not have the right to use the other party’s trade names, trademarks, logos or other signs or identification symbols unless the prior written consent of the other party.

21.3     Capitalised words and phrases not otherwise defined in these General Terms and Conditions have the same meaning in all parts of this Agreement unless the context dictates otherwise.

21.4     A quotation by Grundfos is valid for a period of 30 days from the date of issuance unless Grundfos has specified otherwise in the quotation. Grundfos reserves the right to alter quotations before the expiry of the validity period if customer has not placed a purchase order.

21.5     Grundfos may at any time without being liable correct typographical, clerical or other errors or omissions in sales material, quotations, price lists, order confirmations, invoices or other documents or information issued by Grundfos.

 

22.        EXPORT CONTROL AND SANCTIONED PARTIES

22.1     Any delivery covered by the Agreement may be subject to export control and trade sanction rules, including such rules of among others the European Union, United Nations and the United States of America.

22.2     It is a condition for Grundfos’ delivery of products and services to customer that customer complies with all applicable export control and trade sanction rules, including having relevant compliance procedures and controls.

22.3     If due to export control and trade sanction rules, Grundfos considers that it is or will be prohibited, hindered, restricted or significantly adversely affected in complying with its obligations under the Agreement, Grundfos may cancel or postpone the delivery of the products or services. In such cases, Grundfos will not be liable for any direct or indirect claim or loss.

22.4     To enable authorities or Grundfos to conduct checks on customer’s compliance with the export control and trade sanction rules, or in support of Grundfos' applications to the appropriate authorities in connection with the export and/or sale of the products and/or services under the Agreement, customer shall - upon reasonable request from Grundfos - promptly provide to Grundfos all information on the particular end-user, the parties involved in the delivery, the particular destination(-s)  and the particular intended use of the products and/or services.

 

23.        LAW AND VENUE

23.1     this Agreement, and any dispute or claim arising out of or in connection with it or its formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of Slovenia, without reference to the conflict of laws or principles thereof which may cause the application of the laws of another country.  The United Nations Convention on Contracts for the International Sale of Goods (CISG) shall not apply.

23.2     The parties agree that a competent court in Republic Slovenia, Ljubljana shall have exclusive jurisdiction to settle any dispute or claim (including non-contractual) that arises out of, or in connection with, the Agreement or its formation.
